We believe that upholding the principles of our code of conduct is a shared responsibility among all employees and associates. Therefore, we request that everyone within our organization, as well as our business partners, familiarize themselves with this code, understand its principles, and adhere to them, further adding to a strong trustful fundament.

Only through adhering to these standards can Logicall ensure its sustained presence, attract and retain the right talent, and fulfil the expectations of our customers and business partners.

By acting ethically and responsibly and embodying the commitments outlined in our code of conduct, we not only serve the group’s best interests but also demonstrate our dedication to our employees, customers, shareholders, and the long-term reputation of Logicall as a trusted logistics provider.

1. Fundamental principles

1.1 Group core values

Our core brand values are divided into five core values:

1.3 General principles

At Logicall, we strongly follow a set of fundamental general principles, which support our commitment to ethical and responsible conduct. These principles are the foundation upon which our organization is built and provide the framework for our daily interactions and decision-making processes.

Human rights
We hold a deep commitment to upholding and promoting human rights in all our operations, following the 10 principles of the UN Global Compact.

OECD
These guidelines are the most comprehensive set of government-backed recommendations on responsible business conduct in existence today.

Legal compliance
We are dedicated to the strict observance and adherence to all applicable laws, regulations, and industry standards; both national and international.

Non-discrimination
We aim for employment based on our core values & principles. Discrimination in any form, whether based on race, gender, age, religion, nationality, or any other characteristic is not tolerated within Logicall.

Anti-harassment
Our work environment must be safe, thus free from harassment of any kind, ensuring that every individual is treated with the utmost respect. We maintain a zero-tolerance policy against all forms of harassment. Please also see Chapter 2.6.

Confidentiality
The trust of our clients, colleagues, and partners is of the greatest importance. We recognize the significance of confidentiality in our operations and are
committed to safeguarding sensitive information. This commitment extends to respecting the privacy of all individuals associated with us.

These General Principles are not only the foundation of our code of conduct but also a reflection of our dedication to promoting an environment of integrity, respect, and ethical behaviour in all facets of our business in each part of our group. Adherence to these principles is not just an expectation but a shared responsibility we all bear as representatives of the reputation and values of Logicall.

It should be clear by now that we aspire to cultivate a work culture characterized by the highest standards of ethical and interpersonal behaviour. This means a high level of professionalism that involves demonstrating respect, integrity, and competence in all aspects of our work. We conduct ourselves in a manner that reflects positively on the company and our collective values & principles.

When we communicate, we emphasize the importance of conveying information transparently, actively listening to others, and consistently articulating our ideas in a manner that promotes understanding and cooperation.

We place great importance on addressing conflicts constructively and professionally. This means that the centre of any discussion is content-driven
and backed by arguments.

We value an approach that prioritizes open dialogue, empathy, and a commitment to finding mutually beneficial solutions instead of ‘winning the argument’. In this manner, we contribute to a harmonious and productive work environment.

2. Conduct and responsibilities

2.1 Workplace conduct

We consider our workplace to be a reflection of our values and an environment where respect, professionalism, and integrity thrive. Our commitment to workplace conduct is centred on creating a harmonious and productive atmosphere that promotes individual and collective growth. We expect all employees to adhere to the following:

Labour & human rights
We adamantly oppose forced labour, child labour, and any other exploitative labour practices. Our commitment extends to respecting and promoting labour rights and human rights within our sphere of influence and throughout our supply chain in collaboration with our chain partners.

Equal opportunity & treatment

Safety & security
The safety, health, and well-being of our employees are of the greatest importance. We maintain safety standards to ensure that our workplace is free
from hazards and promotes the physical and mental well-being of all. It is our collective responsibility to adhere to safety protocols, report concerns promptly, and work together to maintain a secure environment.

Drugs & alcohol
We strictly prohibit the use of illegal drugs and excessive alcohol consumption on company premises. Such behaviour not only jeopardizes personal well-being but also poses risks to the safety and security of our work environment. Employees are expected to adhere to our drug and alcohol policies and to seek assistance when needed.

2.2 Digital and social media guidelines

In an age where digital and social media are powerful, everywhere and always, our employees must understand their responsibilities and the company’s
expectations when using these platforms. Our Digital and Social Media Guidelines provide a framework for the appropriate use of these communication channels, both in professional and personal contexts:

Our offered resources
Employees are expected to use company-provided digital resources, including email, software, and hardware, for work-related purposes. Responsible and ethical use of these resources is imperative to maintain data security and business continuity.

Social media etiquette
When representing us on social media platforms, employees are expected to maintain a professional and respectful tone. Avoid sharing sensitive company information or expressing themselves negatively about colleagues, clients, or the company. This also involves not sharing pictures or videos of (internal) processes without company consent. We encourage employees to consider how their actions and comments may reflect on the company’s reputation.

Lastly, while employees have the right to express personal views on their personal social media accounts, it is essential to make it clear that these views do not represent the views of Logicall

Netiquette
Logicall wants to emphasize that writing an e-mail is difficult, meaning that without non-verbal communication and immediate clarification, the recipient will process purely on the written words. We strongly advise our employees to always be observant of what you say to whom and when.

Information sharing
All in all, it is not allowed to share any kind of information regarding Logicall without a written consent from management.

2.3 Compliance with laws & regulations

At Logicall, we are determined in our commitment to adhere to all applicable laws and regulations, recognizing that these may vary depending on our industry, (country) location, and business operations. Our compliance obligations encompass, but are not limited to, the following key areas:

  • Antitrust & Competition laws

  • Financial and Tax Compliance
  • Anti-Bribery and Corruption Laws

Logicall adheres to applicable (international) trade legislation, import and export laws, international sanction regulations of the United Nations (UN), the European Union (EU), and the United States (US). We have implemented the necessary processes and procedures, as well as provided education and instructions to employees to ensure compliance with laws and regulations.

Logicall does not engage in business with North Korea, Syria, Sudan, Iran, Russia, the Crimea, Donetsk People’s Republic (DNR), Luhansk People’s Republic (LNR) regions of Ukraine and Cuba and we avoid inappropriate political activities and refrain ourselves from making statements that could harm the interests of the company.

We continuously monitor legal developments and adapt our practices to ensure ongoing compliance.

2.4 Conflict of interest

We recognize that conflicts of interest can arise in various professional situations. It is crucial to identify and appropriately address such conflicts to
maintain transparency and ensure that our decision-making processes are based on the best interests of the company and its stakeholders. All employees with a potential or actual conflict of interest are required to promptly disclose this conflict to the appropriate function or manager.

2.5 Gifts & entertainment

We appreciate the importance of maintaining professional relationships with clients, partners, and stakeholders. At the same time, we acknowledge the
potential for undue influence or impropriety that may arise from the exchange of gifts or offered entertainment. To ensure the highest ethical standards, we follow the following guidelines:

Giving and receiving gifts:
Employees may give or receive gifts, provided that they are of a reasonable value and align with the intent to share courtesy. Gifts should not be extravagant, intended to influence business decisions or create the appearance of impropriety. Nor should they be asked for or promised.

Entertainment and hospitality:
When offering or accepting entertainment and hospitality, it should be within reasonable and ethical bounds. Events, meals, or outings should serve a
legitimate business purpose and be proportionate with the standards of our industry.

Sensitive and ethical boundaries:
During work hours it is prohibited to visit explicit adult (entertainment) environments or attend events with strong political or social implications.
This includes political (extremist) rallies, gatherings, protest marches, and controversial or violent events such as bullfighting.

2.6 Ethical compliance & misconduct

We see that ethical conduct is not only a reflection of our core values but also a critical component in safeguarding the trust, credibility, and integrity of our organization; among the most crucial elements within Logicall.

Fraud & corruption
We believe that corruption is harmful to society and undermines fair trade, both of which are crucial to our company. We prohibit any form of bribery or corruption. We adhere to all anti-corruption laws applicable to our work and abide by international standards.

It is important that employees do not offer, promise, give, accept, or request
bribes, improper payments, favours, or anything of value, both financially and
non-financially. We want to ensure that we only engage with businesses that
uphold the same values as ours.

We compete and conduct business transparently, based on performance and
trust. It is essential to avoid even the appearance of corruption: employees
should not be influenced by gifts, entertainment, or benefits of any kind from
current or potential relationships.

Unwanted behaviour

We are committed to ensuring that everyone, including employees, temporary workers, and visitors, interacts with each other respectfully and ethically, enhancing a pleasant and safe working environment.

In a healthy and encouraging work environment, collegiality, respect, and attention to others are considered standard, and unwelcome behaviour is promptly addressed. Maintaining such an environment requires active contributions from all individuals associated with Logicall, not only concerning their conduct but also by vigilantly recognizing and addressing any form of unwanted behaviour within their surroundings.

Unwanted behaviour should always be brought to light, either by addressing it directly with the individuals involved or by involving third parties. The purpose of this chapter in the code of conduct is to explicitly emphasize these principles throughout all levels of our companies within our group.

In this group code of conduct, the following terms are defined:

Unwanted behaviour

Any behaviour, action, or omission of an action that is negatively experienced and has physical, psychological, or social consequences. This includes but is not limited to, harassment, sexual harassment, discrimination, aggression, violence, and bullying

Harassment

Any form of verbal, non-verbal, or physical behaviour intended or resulting in the degradation of a person’s dignity, a negative impact on work performance, or the creation of an unsafe work environment.

Sexual harassment

Any form of verbal, non-verbal, or physical behaviour with a sexual connotation intended or resulting in the degradation of a person’s dignity, a negative impact on work performance, or the creation of an unsafe work environment.

Discrimination

Making distinctions, expressing insults, or acting violently against employees or visitors without justification based on religion, beliefs, political affiliation, race, gender, gender identity, sexual orientation, nationality, marital status, age, disability, chronic illness, or any other ground.

Aggression and violence

Mentally, physically, or verbally harassing, threatening, or attacking an employee or visitor.

Bullying

Persistent intimidating behaviour by one or more employees toward one or more other employees or visitors. Our commitment to upholding the highest ethical standards forms the cornerstone of our operations. By adhering to our ethical standards, actively
participating in ethical compliance and our Fraud Assessment program, we affirm our dedication to preserving our reputation, ensuring the well-being of our colleagues, and securing the trust of our valued stakeholders.

2.7 Cybersecurity & data privacy

Cybersecurity is a shared responsibility. Employees should be vigilant about protecting company & customer data and respecting data privacy regulations. This includes strong password practices, avoiding suspicious links or downloads, and reporting any security concerns.

We recognize that trust is at the core of our relationships with clients, colleagues, and partners. Protecting sensitive information and respecting the privacy of all individuals is paramount to us. This commitment extends to safeguarding the confidentiality of sensitive sustainability-related data.

This means that each (new) employee is obligated to adhere to this code of conduct in the literal sense of a strict Non-Disclosure Agreement (NDA) that
covers all customer-related information. This means all employees are legally bound to keep all customer data and details confidential, further ensuring their privacy and security

2.8 Social responsibility

Our sustainability journey extends beyond the environment. We pledge to improve the well-being of the communities where we operate. We are committed to having a respectful, healthy, safe and supportive workplace that enables us to attract and retain a diverse and balanced workforce that represents our values and community.

We invest in active programs that will help our organizations make a positive difference in the lives of their employees, communities, and society at large. We will continuously review opportunities to fulfil the needs of our social environment, highlighted as:

Our relationships with suppliers and partners are integral to our success. We uphold high ethical standards not only within our organization but also expect our suppliers and partners to adhere to similar principles. We have periodical audits on the level of sustainability to ensure our entire supply chain is on par with our standards and on track towards a more sustainable future

2.10 Reporting violations

We encourage all employees, contractors, and stakeholders to promptly report any violations or concerns related to our code of conduct, company policies, or applicable laws and regulations. Reporting violations helps us address issues, prevent further misconduct, and uphold our commitment to transparency and accountability.

There are several ways, in which one can report a violation, through:

  • Your manager
  • The HR department
  • One of the Confidential Advisors
  • Company doctor (external)
  • The Complaint Committee
  • Our Whistleblower procedure

Everyone assumes their responsibilities on a day-to-day basis, and must not hesitate to share their questions and concerns, where applicable, to prevent any kind of risk. If doubts remain, it may then be necessary to act as a whistle-blower. Each of us is entitled to raise an alert if we feel that we have good reason to consider that an instruction received, a transaction or, more generally, any given situation of which we are personally aware does not seem to comply with the rules governing our group’s activities.

We have established a robust whistleblower protection policy to ensure that individuals who report violations in good faith are shielded from any form of retaliation. We are committed to protecting the confidentiality and anonymity of whistleblowers whenever possible.

3. Enforcement & conclusion

3.1 Enforcement

Enforcement is a critical element of our commitment to maintaining ethical standards and integrity. It ensures that the principles outlined in this code of conduct are not just words on paper but fundamental to our daily operations.

Consequences for violations of our code of conduct and policies may include disciplinary actions. The severity of the disciplinary actions will depend on the nature and severity of the violation. Potential disciplinary measures may include a remark in the personnel file, verbal or written warnings, suspension, and in serious cases, termination of employment or contractual agreements, exceptionally followed by filing a police report.

The group code of conduct undergoes annual reviews and is also updated in response to incidents and evolving business developments.

Our trusted Goals: Net zero

We are dedicated to complying with the Paris Agreement and achieving net zero across all our operations by 2050. We will implement innovative carbon reduction strategies, invest in renewable energy sources, and carbon offsetting, and collaborate with suppliers, clients, competitors and other business partners to minimize our carbon footprint. It is our logical goal to achieve a 25% reduction in emissions by 2030.

Circular economy

We will transition to a circular economy model, where waste is minimized, resource volumes are limited and continually reused and recycled. By 2030, 100% of our packaging will be made from recycled materials. In the field of Zero Waste to Landfill, we aim for a reduction of 100% of our waste by 2030.

Responsible supply chain

We will continuously review our services and the supply chains of customers to seek opportunities and redesign if needed to improve our sustainability performance and our impact on the environment and communities.

We will hold our suppliers to the highest ethical and sustainability standards. By 2025, 50% of our suppliers will be certified as sustainable, and we will work with them to ensure fair labour practices and responsible sourcing.
